1. Introduction: Purpose and General Provisions

This document has been developed as a comprehensive User Agreement that simultaneously serves as a Public Offer for the ELLI service.

 

1.1. Purpose of the Document

This document constitutes a Public Offer within the meaning of Article 633 of the Civil Code of Ukraine, addressed to an unlimited number of persons. At the same time, it serves as a User Agreement establishing the rules and terms of use of the ELLI online service and the e-lli.com website.

 

1.2. Legal Regulation

Relations between the Service Provider and the User are governed by the current legislation of Ukraine. The key regulatory acts are: the Civil Code of Ukraine dated 16.01.2003 No. 435-IV; the Law of Ukraine "On Consumer Rights Protection" dated 12.05.1991 No. 1023-XII; the Law of Ukraine "On Personal Data Protection" dated 01.06.2010 No. 2297-VI; the Law of Ukraine "On Electronic Commerce" dated 03.09.2015 No. 675-VIII; and the Law of Ukraine "On Electronic Trust Services" dated 05.10.2017 No. 2155-VIII.

The application of these laws provides the legal basis for all aspects of interaction, from contract conclusion and service provision to personal data processing and dispute resolution.

 

1.3. Parties to the Agreement

Within the framework of this Agreement, the following parties are defined:

User: Any natural or legal person, as well as any sole proprietor, who visits and uses the ELLI service and accepts the terms of this Agreement.

 

1.4. Effective Date

This Agreement enters into force from the moment of its publication on the e-lli.com website and remains in effect until it is revoked or amended by the Service Provider.

 

2. Key Terms and Definitions

To ensure unambiguous interpretation of the terms of this Agreement and to prevent possible discrepancies, this section provides definitions of key terms used in the document.

 

2.1. "ELLI System" / "Service": A set of software and hardware tools for computers constituting an automated information system accessible on the Internet at the network address app.e-lli.com. This system is designed to provide access to an AI model (technology) trained by a team of psychologists and psychotherapists, with the aim of making psychological self-help information accessible.

 

2.2. "Website": The Internet resource located at e-lli.com, including all its pages, subdomains, software components, and content.

 

2.3. "User": Any natural or legal person, as well as any sole proprietor, who uses the Website and/or the ELLI Service and has accepted the terms of this Agreement.

 

2.4. "Service Provider" / "Sole Proprietor": FOP RYMSKYI ANTON OLEHOVYCH, who provides services for access to the ELLI System.

 

2.5. "Service": Provision of remote, non-exclusive access to the functionality and content of the ELLI System to the User under the terms defined by this Agreement and the selected Tariff Plan.

 

2.6. "Acceptance of the Offer": Full acceptance by the User of the terms of this Agreement, expressed by performing the actions specified in Section 6 of this Agreement, in accordance with Article 642 of the Civil Code of Ukraine.

 

2.7. "Tariff Plan": A set of service provision conditions that includes the volume of available requests and the cost selected by the User.

 

2.8. "Request": A unit of Service consumption, which is a single query by the User to the ELLI System for information processing, the result of which is obtaining a response or other output from the System.

 

2.9. "System Content": All intellectual property objects, including texts, images, graphic elements, databases, software code, algorithms, legal documents, analytical materials, and other information posted in the ELLI System.

 

3. Subject Matter of the User Agreement (Offer)

3.1. Subject of the Contract

In accordance with the terms of this Agreement, the Service Provider undertakes to provide the User with remote access to the ELLI system (hereinafter referred to as the "Service"), and the User undertakes to accept and pay for this access in accordance with the selected Tariff Plan, pursuant to Article 901 of the Civil Code of Ukraine.

 

3.2. Service Characteristics

The Service consists of providing the User with a non-exclusive right to use the functionality of the ELLI System via the Internet at e-lli.com. Access to the Service is provided within the territory of Ukraine. The scope and conditions of access, including the number of available requests, are determined by the Tariff Plan selected by the User, the details of which are set forth in Section 5 of this Agreement.

 

4. Rights and Obligations of the Parties

4.1. Rights and Obligations of the Service Provider

4.1.1. Obligations of the Service Provider

The Service Provider undertakes to provide the User with access to the Service in accordance with the selected Tariff Plan and the terms of this Agreement. This includes ensuring the operability of the ELLI System, except in cases of scheduled technical maintenance or force majeure circumstances as defined by Article 617 of the Civil Code of Ukraine.

Additionally, the Service Provider is obliged to process the User's personal data in strict accordance with the Law of Ukraine "On Personal Data Protection" dated 01.06.2010 No. 2297-VI and the Privacy Policy, as well as to maintain the confidentiality of the User's data, except in cases expressly provided for by the legislation of Ukraine.

 

4.1.2. Rights of the Service Provider

The Service Provider has the right to unilaterally amend the terms of this Agreement and Tariff Plans, having previously notified the User of such changes in accordance with Article 651 of the Civil Code of Ukraine. This right ensures the necessary flexibility for the development of the online service and adaptation to market conditions.

The Service Provider also has the right to block or restrict the User's access to the Service in case of violation of the terms of this Agreement or the current legislation of Ukraine. Additionally, the Service Provider may conduct scheduled and unscheduled technical work, temporarily restricting access to the Service, with prior notification to Users if technically feasible. The Service Provider has the right to receive payment for the Services provided in accordance with the selected Tariff Plan.

 

4.2. Rights and Obligations of the User

4.2.1. Obligations of the User

The User is obliged to fully familiarize themselves with this Agreement before using the Service. Use of the Service implies full agreement with its terms in accordance with Article 642 of the Civil Code of Ukraine.

The User must comply with the terms of this Agreement and the current legislation of Ukraine. Timely and full payment for Services in accordance with the selected Tariff Plan is a direct obligation of the User.

It is prohibited to use the Service for illegal purposes, for violation of the rights of third parties, including intellectual property rights provided for by the Civil Code of Ukraine and the Law of Ukraine "On Copyright and Related Rights" dated 23.12.1993 No. 3792-XII.

When registering and using the Service, the User is obliged to provide accurate and up-to-date data. Additionally, the User undertakes to independently familiarize themselves with the current version of this Agreement.

 

4.2.2. Rights of the User

The User has the right to receive access to the Service in accordance with the selected Tariff Plan. The User also has the right to receive information about their personal data being processed by the Service Provider, in accordance with Article 8 of the Law of Ukraine "On Personal Data Protection," and to contact the Service Provider's support service with questions related to the use of the Service.

The User has the right to protection of their rights as a consumer in accordance with the Law of Ukraine "On Consumer Rights Protection" dated 12.05.1991 No. 1023-XII.

 

5. Procedure for Service Provision and Payments

5.1. Tariff Plans

Access to the Service is provided on a paid basis in accordance with the following Tariff Plans. Until 06.2026, access is free of charge.

 

5.2. Payment Procedure

Payment for Services is made by the User through non-cash payment using payment systems available on the website, in accordance with the Law of Ukraine "On Payment Systems and Money Transfers in Ukraine" dated 05.04.2001 No. 2346-III.

Payment is made in the form of 100% prepayment for the selected Tariff Plan. Services are considered paid from the moment the funds are credited to the Service Provider's bank account.

 

5.3. Refund Conditions

Refunds for paid Services are made in cases provided for by the legislation of Ukraine, in particular the Law of Ukraine "On Consumer Rights Protection" dated 12.05.1991 No. 1023-XII and Article 10 of the Law of Ukraine "On Electronic Commerce" dated 03.09.2015 No. 675-VIII.

A refund may be issued for the unused period of the paid Tariff Plan in case of termination of Services due to the fault of the Service Provider or upon the User's request in the absence of violations on their part, taking into account the requests actually consumed.

Refunds are not provided for requests actually consumed or for the period during which access to the Service was provided in full.

In accordance with Article 9 of the Law of Ukraine "On Consumer Rights Protection," the User has the right to refuse the Service within 14 days from the moment of acceptance of the Offer, provided that the Service has not been actually used (no requests have been made to the System).

 

6. Acceptance of the Offer, Moment of Contract Conclusion, and Service Provision

6.1. Actions Constituting Acceptance

Full acceptance of the terms of this Public Offer is considered to be the User performing any of the following actions, in accordance with Article 642 of the Civil Code of Ukraine:

(1) Payment for Services under the selected Tariff Plan.

(2) User registration on the app.e-lli.com website.

(3) Clicking the button "I have read and accept the User Agreement" or similar, provided that the text of the Agreement is available for review before clicking.

 

6.2. Moment of Contract Conclusion and Service Provision

This Contract is considered concluded from the moment the User performs one of the actions specified in clause 6.1 of this Agreement, in accordance with Article 640 of the Civil Code of Ukraine. After acceptance, the Offer acquires the force of a concluded contract between the Service Provider and the User.

The Service consists of providing access to the ELLI web service. The fact of service provision (granting access) occurs at the moment of the User's authorization in the ELLI application after making payment for access to ELLI. The Service is considered provided from the moment of the User's authorization in ELLI. Access is granted for the period of the selected tariff plan.

 

7. Intellectual Property

7.1. Rights Holder

The Service Provider is the holder of exclusive rights to the ELLI System, including software, databases, algorithms, design, graphic elements, texts, analytical materials, and any other System Content created by the Service Provider, in accordance with the Civil Code of Ukraine (Articles 418, 433) and the Law of Ukraine "On Copyright and Related Rights" dated 23.12.1993 No. 3792-XII.

 

7.2. User Rights

This Agreement grants the User a limited, non-exclusive, non-transferable right to use the Service (access to the ELLI System) solely for personal or professional reference purposes, within the limits of the selected Tariff Plan, in accordance with Article 1109 of the Civil Code of Ukraine (license agreement).

The User does not acquire any rights to the ELLI System or its Content, except for the right of use granted by this Agreement.

 

7.3. Prohibited Actions

The User is prohibited from:

(1) Copying, reproducing, distributing, publishing, modifying, creating derivative works, decompiling, disassembling, or otherwise attempting to obtain the source code of the ELLI System or its parts, which constitutes a violation of Article 50 of the Law of Ukraine "On Copyright and Related Rights."

(2) Using the Content of the ELLI System for commercial purposes (except for use for one's own needs) without the prior written consent of the Service Provider.

(3) Posting or transmitting through the Service materials that infringe copyrights, trademarks, trade secrets, or other intellectual property rights of third parties.

(4) Using the Service to create similar or competing products or services.

 

8. Personal Data Processing and Confidentiality

8.1. General Provisions

Processing of the User's personal data is carried out by the Service Provider in strict accordance with the Law of Ukraine "On Personal Data Protection" dated 01.06.2010 No. 2297-VI.

Use of the Website and/or Service by the User signifies full agreement with this section of the Agreement and the Personal Data Processing Policy posted at https://e-lli.com/privacy-policy-ukr.

 

8.2. Consent to Personal Data Processing

In accordance with the Law of Ukraine "On Personal Data Protection" dated 01.06.2010 No. 2297-VI, by accepting the terms of this Offer, the User freely, of their own will and in their own interest, gives consent to FOP RYMSKYI ANTON OLEHOVYCH (RNOKPP 3779205754, email address: info@e-lli.com) for the processing of their personal data under the following conditions:

 

8.2.1. List of Personal Data

List of personal data for which consent is given: surname, first name, patronymic; email address; phone number (if available).

 

8.2.2. Purpose of Personal Data Processing

Execution of the civil law contract (Offer) posted at the Internet address https://e-lli.com/user-agreement-ukr, informing about services, registration in the personal account, informational and promotional mailings related to the services of the Personal Data Controller, necessary notifications regarding the operation of the ELLI Service.

 

8.2.3. List of Actions with Personal Data

Processing includes: collection, registration, accumulation, storage, adaptation, modification, updating, use and distribution (dissemination, sale, transfer), anonymization, destruction of personal data, including in information (automated) systems, in accordance with Article 6 of the Law of Ukraine "On Personal Data Protection."

 

8.2.4. Term of Consent

This consent is effective from the moment of acceptance of the Offer until the purposes of processing are achieved or until it is withdrawn by the User in accordance with Article 11 of the Law of Ukraine "On Personal Data Protection."

 

8.2.5. Procedure for Withdrawal of Consent

The User is aware that this consent may be withdrawn at any time by sending a written notification (application) to the Personal Data Controller's address by registered mail or by email: info@e-lli.com.

In case of withdrawal of consent, the Personal Data Controller has the right to continue processing data without the User's consent only if there are grounds provided for by the Law of Ukraine "On Personal Data Protection."

 

9. Liability of the Parties and Limitation of Liability

9.1. Liability of the Service Provider

The Service Provider is liable for improper provision of Services or violation of other terms of this Agreement in accordance with the legislation of Ukraine.

However, the Service Provider is not liable for: (1) Temporary failures and interruptions in the operation of the Service caused by technical reasons, force majeure circumstances (Article 617 of the Civil Code of Ukraine), or actions of third parties. (2) Lost profits, indirect damages, as well as any damages resulting from the User's use of information received through the Service.

 

Limitation of Liability: The liability of the Service Provider is limited to the cost of Services paid for by the User but not provided, in accordance with Article 1194 of the Civil Code of Ukraine.

The Service Provider is not liable for lost profits, indirect damages, or any damages resulting from the User's use of information received through the Service.

The Service is provided "as is," and the Service Provider does not guarantee its uninterrupted operation, the absence of errors, or the suitability of the Service for the User's specific purposes.

 

9.2. Liability of the User

The User is liable for:

(1) The accuracy of the data provided in accordance with Article 416 of the Civil Code of Ukraine.

(2) Any unauthorized use of the Service or its Content, as well as for violation of the intellectual property rights of the Service Provider or third parties in accordance with Articles 1166-1167 of the Civil Code of Ukraine and the Law of Ukraine "On Copyright and Related Rights."

(3) Any damages caused to the Service Provider or third parties as a result of their actions or inactions that violate the terms of this Agreement or the legislation of Ukraine.

 

10. Rights of Minors

10.1. Restrictions for Minors

The Service is intended for use by persons who have reached the age of 18. If the User is under 18 years of age, they may use the Service only with the consent of their parents or legal representatives in accordance with Article 32 of the Civil Code of Ukraine.

 

10.2. Processing of Minors' Data

Processing of personal data of minors (under 18 years of age) is carried out only with the consent of parents or legal representatives in accordance with Article 11 of the Law of Ukraine "On Personal Data Protection."

 

10.3. Deletion of Minors' Data

If the Controller becomes aware that personal data has been collected from a minor without the appropriate consent of parents or legal representatives, such data will be deleted immediately.

 

11. Dispute Resolution Procedure and Applicable Law

11.1. Pre-Trial Dispute Resolution Procedure

All disputes and disagreements arising between the Parties in connection with the performance of this Agreement are subject to resolution through negotiations, mediation, and mandatory pre-trial (claim) procedure in accordance with Article 124 of the Constitution of Ukraine and the Commercial Procedure Code of Ukraine.

A claim must be sent in writing to the email address specified in Section 12 of this Agreement and must contain the essence of the claims, their justification, and the calculation of the claim amount.

The period for reviewing the claim and sending a response is 10 (ten) calendar days from the moment of its receipt.

 

11.2. Jurisdiction of Disputes

In case of impossibility to resolve disputes through pre-trial procedure, they are subject to consideration in court in accordance with the legislation of Ukraine.

Disputes involving Users who are natural persons (consumers) are subject to the jurisdiction of courts of general jurisdiction at the User's place of residence or at the place of registration of the Service Provider, in accordance with the rules of the Civil Procedure Code of Ukraine and the Law of Ukraine "On Consumer Rights Protection."

Disputes involving Users who are legal entities or sole proprietors are subject to the jurisdiction of commercial courts in accordance with the Commercial Procedure Code of Ukraine.

 

12. Amendment and Termination of the Agreement

12.1. Amendment of the Agreement

The Service Provider reserves the right to amend this Agreement unilaterally in accordance with Article 651 of the Civil Code of Ukraine.

Amendments enter into force on the next calendar day from the moment of their posting on the e-lli.com website. Users are obliged to independently familiarize themselves with the current version of the Agreement each time before using the Service.

Continued use of the Service after the publication of amendments signifies the User's full agreement with the new version of the Agreement.

 

12.2. Termination of the Agreement by the Service Provider

The Service Provider has the right to terminate this Agreement unilaterally in case of violation of its terms by the User, including the use of the Service for illegal purposes or violation of intellectual property rights, in accordance with Article 651 of the Civil Code of Ukraine.

The Agreement also terminates upon expiration of the paid period of Services if the User has not renewed access.

 

12.3. Termination of the Agreement by the User

The User has the right to terminate this Agreement by ceasing to use the Service and/or deleting their account (by contacting: info@e-lli.com with the subject "Please delete my account") in accordance with Article 651 of the Civil Code of Ukraine.

In case of disagreement with amendments made to the Agreement, the User is obliged to cease using the Service.

 

13. Final Provisions and Service Provider Details

13.2. Entire Agreement

This Agreement constitutes the entire agreement between the Service Provider and the User regarding the subject matter of this Agreement and supersedes all prior agreements, oral or written, between them.

 

13.3. Severability of Provisions

If any provision of this Agreement is found to be invalid or unenforceable, this shall not affect the validity and enforceability of the other provisions of the Agreement in accordance with Article 180 of the Civil Code of Ukraine.

 

13.4. Language of the Agreement

This Agreement is concluded in the Ukrainian language. In case of translation of this Agreement into other languages, in the event of discrepancies in interpretation, the Ukrainian text shall prevail in accordance with Article 10 of the Constitution of Ukraine and the Law of Ukraine "On Ensuring the Functioning of the Ukrainian Language as the State Language" dated 25.04.2019 No. 2704-VIII.

 

13.5. Legislation of Ukraine

This Agreement is governed by and construed in accordance with the legislation of Ukraine. All references to regulatory legal acts in this Agreement refer to the current legislation of Ukraine in its current version.
